The following AngelList Investor Portal Terms (these “AngelList Investor Portal Terms”) modify and supplement our General Terms, the terms and conditions of which are hereby expressly incorporated by reference, and together with the General Terms, collectively governs your access and use of our AngelList Investor Portal Service (as defined below). Capitalized terms used in these AngelList Investor Portal Terms, but not defined herein have the meanings given to such terms in the General Terms or AngelList Transact Master Services Agreement (“MSA”), as applicable. In the event of any conflict or inconsistency between these AngelList Investor Portal Terms and the General Terms, the applicable terms of these AngelList Investor Portal Terms will control with respect to your use of the AngelList Investor Portal Services (defined below). If you or your organization are bound by an AngelList MSA, then these AngelList Investor Portal Terms will apply to your use of the AngelList Investor Portal Services to the extent such use is not already governed by the MSA.

About AngelList Investor Portal

The AngelList Investor Portal Services includes access to a virtual investor portal (“Investor Portal”) that is designed to, but may not in every instance, contain information, reports, documents and other materials or content, by way of example, investor updates, investment opportunities, financial reports, market data, income statements, balance sheets, and cash flow statements (“Investor Portal Contents”) uploaded by another user of the AngelList Investor Portal Services (“Investor Portal Owner”) You acknowledge and agree that: (i) the Investor Portal Contents are the proprietary and confidential information of the Investor Portal Owner; (ii) the AngelList Investor Portal Services do not include the Investor Portal Contents; (iii) AngelList shall not be responsible for the accuracy, nature, content or completeness of the Investor Portal Contents or the modification, use or publication of the Investor Portal Contents by you or any other user of the AngelList Investor Portal Services;(iv) your use of the Portal shall be in accordance with any and all agreements between you and the Investor Portal Owner; (v) you shall not disclose or use any Investor Portal Contents, except as expressly permitted by the Portal Owner; (vi) you will only access the Investor Portal Contents to which you have been granted authorized access via the AngelList Investor Portal Services; (vii) AngelList does not review, inspect, edit or monitor any Investor Portal Contents, including, without limitation, for viruses, worms, “Trojan horses” or any other similar contaminating or destructive features; (viii) AngelList has the full right, but not an obligation, to determine whether the Investor Portal Content is appropriate, legal, and in compliance with this Agreement, and may move or remove I Investor Portal Content that violates any law or this Agreement at any time, without prior notice and in its sole discretion; (ix) you are solely responsible for protecting the Investor Portal Contents on your computer or your other devices for example, by installing anti-virus software, updating your applications, password protecting your files, and not permitting third party access to your computer; and (x) under no circumstances is AngelList required to revise or otherwise edit any Investor Portal Content.

Payment

When you purchase the AngelList Investor Portal Services, you agree to the applicable pricing and payment terms as reflected on our site or any invoicing. AngelList may add new features for additional fees and charges, or amend fees and charges for existing features, at any time in its sole discretion. Any change to our pricing or payment terms shall become effective in the billing cycle following notice of such change to you as provided in these AngelList Investor Portal Terms. Your continued use of the applicable AngelList Investor Portal Services after any price change becomes effective constitutes your agreement to pay the changed amount.

All fees, as well as any applicable taxes and transaction fees, are in U.S. Dollars. You must provide a valid credit card at the time you purchase the AngelList Investor Portal Services and you will promptly update us if there is any change to your payment information. Any recurring fees will automatically renew at the rates then in effect, are automatically charged to your credit card, and will continue until canceled in accordance with these AngelList Data Room Terms. We use a third-party payment processor and you must agree to their terms when entering your payment information, if applicable. By providing your payment information, you agree that we may invoice you for all fees when they become due to us without additional notice or consent.

AngelList is not responsible for any charges or expenses you incur resulting from charges billed by AngelList in accordance with these AngelList Investor Portal Terms. By providing a credit card number or other payment method with advance authorization features, you authorize AngelList to continue charging the payment method for all charges due to AngelList until your account is settled and your AngelList Investor Portal Services are terminated in accordance with these AngelList Investor Portal Terms.

All payments are nonrefundable and there are no refunds or credits for partially used periods in the event of a subscription. Following any cancellation, however, your use of the AngelList Investor Portal Services will be valid until your paid period is complete, if applicable.
